Translation Agreement for PSYCH-K® Online Level 2 workshop material

This Translation Agreement (the “Agreement”), dated as , confirms the agreement between The Myrddin Corporation, a Colorado corporation, corporation, having a mailing address of P.O. Box 1885, El Prado, New Mexico 87529 (“Myrddin”) and , having an address of (“Translator”) for the translation (the “Work”) of text from English into (the “Foreign Language’).

1. Services to be Performed

Translator shall deliver, no later than , an electronic copy of the Work in Microsoft Word format (.docx), satisfactory to Myrddin for use and publication in the world market. This translation will be a faithful rendition into the Foreign Language, and will neither omit anything from the original text nor add anything to it, other than such slight verbal changes as are necessary in the translation into the Foreign Language.

2. Warranties

Translator warrants that the Work will conform to the above requirements, that it will be original, and that it will not infringe upon the copyright or violate any right of any person or party whatsoever.

3. Indemnification

Translator agrees to indemnify and hold Myrddin, its licensees and assigns, and any seller of the Work harmless against any damages sustained in any claim, action, proceeding or recovery based on an alleged violation of these warranties. The foregoing warranties do not extend to the underlying material, which Myrddin provides to Translator for translation.

4. Compensation

In full consideration for all services Translator shall render hereunder and for all rights granted to Myrddin hereunder and upon the condition that Translator shall fully perform all of Translator’s obligations under this Agreement Myrddin shall pay Translator the sum of $1.00 U.S. dollar upon delivery and acceptance of the complete Work as satisfactory to Myrddin.

5. Termination

Myrddin may terminate this Agreement if Translator fails to deliver the Work by the date specified in paragraph 1, or if Myrddin determines, in its judgment, that the Work is not satisfactory.
Notwithstanding termination of this Agreement under Section 5.1, or for any other reason, Myrddin shall have the right, without further obligation to Translator, to use the Work in any manner Myrddin deems appropriate, including, without limitation, editing, altering and revising the Work, except that if Myrddin subsequently uses the Work in substantially the form submitted by Translator, Myrddin shall pay Translator the amount which would otherwise have been due to Translator on acceptance of the Work under Section

6. Ownership of Work

Myrddin shall own all right, title and interest in and to the
Translator acknowledges that Translator’s work and services hereunder and all results and proceeds thereof, are works done under Myrddin’s direction and control and which have been specially ordered or commissioned by Myrddin for use as a contribution to a work to be published and that all such services, results and proceeds shall be considered a work made for hire and Myrddin shall own all right, title and interest therein. Myrddin shall be considered the author of the Work for purposes of copyright and shall own all the rights in and to the copyright of the Work and only Myrddin shall have the right to copyright the same, which Myrddin may do in Myrddin’s name or the name of Myrddin’s nominee(s). To the extent that the Work or any materials contained therein or prepared therefor or the copyrights therein do not vest in Myrddin by reason of the same being a work made for hire, Translator hereby grants, assigns and transfers to Myrddin all right, title and interest in and to the Work and all materials contained therein or prepared therefor and the results and proceeds thereof to the extent that Translator have had or will have any right, title or interest therein.
Myrddin shall have the sole and exclusive right throughout the universe in perpetuity to use and exploit all or any part of the Work and all or any part of any material contained therein or prepared therefor, whether or not used therein, in any format or version, by any means and in any and all media, whether now known or hereafter
Without limiting the foregoing, Translator hereby waives any and all claims that Translator may now or hereafter have in any jurisdiction to so-called “moral rights” or rights of droit moral with respect to the results and proceeds of Translator’s work and services
Translator shall execute such further instruments as Myrddin may request to evidence, establish, maintain or protect Myrddin’s rights in and ownership of the

7. Employment Status

Translator is an independent contractor and shall be solely responsible for any unemployment or disability insurance payments, or any social security, income tax or other withholdings, deductions or payments which may be required by federal, state or local law with respect to any sums paid to Translator hereunder. Translator shall not be entitled to any employee benefits whatsoever.

8. Credit

Translator shall be given no credit as the translator of the Work.

9. Copies of the Work

Translator will permanently destroy all working and finished copies of the Work upon completion of the translation.

10. Miscellaneous

This Agreement sets forth the entire agreement between Myrddin and supersedes any prior agreements or understandings, oral or
